1. The Company

2. The Platform

Complyax is a software platform for UK accounting firms. It provides six modules:

• HMRC Notice Reply — reads uploaded HMRC notices and prepares draft replies for accountant review.
• Compliance Calendar — tracks UK statutory filing and payment deadlines.
• Document Collection — automates document request communications to clients.
• VAT Reconciliation — compares MTD VAT data against bookkeeping software exports.
• Client Chatbot — a white-label tool that answers general UK tax queries on behalf of the accounting firm.
• Management Accounts — generates financial analysis from uploaded data.

All outputs are drafts. They must be reviewed and approved by a qualified accountant before use. We never submit anything to HMRC, Companies House or any other authority. The accountant is solely responsible for all professional work product and submissions.

3. Eligibility

Complyax is a business-to-business platform for use by accounting firms and qualified accounting professionals operating in the United Kingdom. You must be at least 18 years of age. By registering, you confirm you have authority to bind your firm to these terms.

4. Accounts

You must provide accurate information when registering. You are responsible for all activity under your account and must keep your credentials secure. Notify us immediately at hello@complyax.com if you suspect unauthorised access.

5. Subscriptions and Payment

Subscriptions are billed monthly or annually in advance. All fees are in pounds sterling and exclude VAT where applicable. Payments are processed by Stripe. Subscriptions renew automatically unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period.

If payment fails we may suspend access until payment is received. We reserve the right to change subscription fees with 30 days notice.

6. Acceptable Use

You agree not to:

• Submit AI-generated outputs to any authority without first reviewing and approving them as a qualified professional.
• Upload data you do not have authority to process.
• Attempt to reverse engineer, copy or extract any part of the platform.
• Use the platform in breach of any applicable law or professional regulatory obligation.
• Misrepresent your identity or professional qualifications.

7. AI Outputs and Professional Responsibility

Complyax uses artificial intelligence to prepare draft outputs. You acknowledge that:

• AI outputs are not legal advice, tax advice or professional advice of any kind.
• Every output requires review and approval by a qualified accountant before use.
• We make no warranty as to the accuracy, completeness or fitness for purpose of any AI-generated output.
• The accountant using the platform is solely responsible for all work product delivered to clients and all submissions to any authority.
• We accept no liability for any loss arising from use of an AI output that has not been reviewed by a qualified professional.

Every document downloaded from Complyax carries a mandatory disclaimer: AI-Generated Draft — Mandatory Accountant Review Required Before Submission. This disclaimer cannot be removed.

8. Limitation of Liability

To the fullest extent permitted by law:

• We exclude all implied warranties, conditions and representations in relation to the platform and its outputs.
• We are not liable for any indirect, consequential, special, incidental or punitive loss, including loss of profits, loss of data, loss of clients or reputational damage.
• We are not liable for any loss arising from reliance on an AI-generated output without appropriate professional review.
• We are not liable for any failure or delay caused by circumstances outside our reasonable control.
• Our total liability for any claim shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these terms excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

9. Intellectual Property

We own all intellectual property rights in the Complyax platform. You retain ownership of all data you upload. By uploading data you grant us a limited licence to process it for the purpose of delivering the service. You may not resell, sublicence or commercially exploit the platform itself.

10. Data Protection

We handle personal data in accordance with our Privacy Policy at complyax.com/privacy and comply with the UK General Data Protection Regulation and the Data Protection Act 2018. Where you upload client data, you are the data controller and we act as your data processor under a Data Processing Agreement at complyax.com/dpa.

11. Availability

We aim to make the platform available at all times. We do not guarantee uninterrupted service. We may carry out maintenance at any time and will give reasonable notice of planned downtime where possible. We are not liable for losses caused by unavailability outside our control.

12. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your access immediately if you breach these terms or if required by law. On termination, your data will be retained for 30 days then deleted, unless you request earlier deletion.

13. Changes

We may update these terms at any time. We will give reasonable notice of material changes by email or platform notice. Continued use after notice constitutes acceptance.

14. Governing Law

These terms are governed by the law of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
